TERMS AND CONDITIONS

1. WHO WE ARE
Decksadu is the trading name of Decksadu SL, a company registered in Spain.

These terms apply to every engagement between Decksadu SL and you. By paying for a service or confirming a scope in writing, you accept them.
2. WHAT WE DO
We produce fundraising materials: investor pitch decks, lender pitch decks, fund pitch decks, financial models, investment teasers and pitch deck reviews. Every deliverable is written, designed and built specifically for you. We do not use templates.
3. WHAT WE DO NOT DO
We do not contact investors or lenders, make introductions, or work on success fees. We build the materials. You run the raise.
We do not provide legal, tax, accounting, investment or financial advice. Nothing we deliver is an offer of securities or a recommendation to invest.
We do not verify figures, forecasts, claims or supporting information you supply. The accuracy of your underlying material is your responsibility.
We do not produce confidential information memorandums, business plans or valuations, and we do not work for intermediaries preparing materials on behalf of someone else.
4. HOW AN ENGAGEMENT STARTS
There are two routes, depending on the service.
Pitch Deck Review and Investment Teaser. You pay through the checkout link on the relevant service page. You are then taken to an intake form where you send us your materials. Work starts on receipt.
Pitch decks, financial models and bespoke engagements. You complete an intake form, we hold a call, and we agree a wireframe that fixes the slide count, the scope and the price. We confirm that scope to you in writing. Nothing is charged until you have approved it. We then invoice the deposit, and work starts when the deposit clears.
Before you buy, the price, the turnaround and what is included are published on the relevant service page and on our pricing page. You can correct any error in the information you have entered at any point before you complete payment, by editing the form fields or by contacting us. Contracts are concluded in English.
5. PRICE AND PAYMENT
Our published prices are in US dollars.
Below $1,000, and for all financial models at any value, payment is 100% in advance.
At $1,000 and above, 50% is payable to book the start date and 50% before final files are released.
Pitch decks are charged per slide on the final deck. Slides removed during revisions are not charged. Slides added during revisions are charged at the published per-slide rate.
Where VAT applies, it is added to the published price. Spanish customers are charged Spanish IVA. Business customers elsewhere in the EU are not charged Spanish VAT under the reverse charge, provided a valid VAT number is supplied. Customers outside the EU are outside the scope of EU VAT.
Bank charges, currency conversion costs and payment provider fees are yours.
6. TURNAROUND
Turnaround runs in business days from receipt of the deposit, or from receipt of payment where the service is paid in full in advance. For pitch decks and financial models it runs from the later of the deposit clearing and the kick-off call taking place
Published turnarounds assume you supply the material we ask for at the start. Where material arrives late or in stages, the clock adjusts by the delay.
Rush delivery is available on pitch decks and financial models at a 50% surcharge, subject to availability. Only one project runs at a time.
7. REVISIONS
Two rounds of revisions are included with every engagement.
A round is one consolidated set of comments, sent within 7 days of delivery. Further rounds are available at $400 each.
Revisions cover the work against the agreed scope. Where you want something outside that scope, we will tell you what it costs before we do it.
8. DELIVERY AND FILES
We deliver editable source files and a PDF. Financial models are delivered as unlocked Excel with a PowerPoint summary of the key worksheets.
Where a balance is outstanding, final files are released on receipt of that balance.
9. YOUR MATERIAL AND YOUR RESPONSIBILITIES
You confirm that you own or are entitled to use everything you send us, and that using it in your materials will not infringe anyone else's rights.
You are responsible for the accuracy of the figures, forecasts and factual claims in the finished deliverable. We build what you tell us, and we will raise anything that looks wrong, but the underlying truth of it is yours.
You are responsible for complying with the securities and financial promotion rules that apply to you, in your jurisdiction and in every jurisdiction where you use the materials.
10. CONFIDENTIALITY
We treat everything you send us as confidential. We do not disclose it, and we do not use it for anything other than your project.
We may show finished work in our portfolio and case studies. Where you would prefer we did not, tell us and we will not.
11. INTELLECTUAL PROPERTY
On receipt of payment in full, you own the finished deliverable and everything in it that we created for you.
We keep ownership of our underlying methods, model structures, frameworks and any pre-existing material we brought to the project. Nothing here transfers rights in third-party assets such as stock images or fonts beyond the licences that come with them.
12. CANCELLATION AND REFUNDS
Fees are non-refundable once work has begun.
Payment reserves capacity and a start date, and work starts immediately on receipt. Once time is allocated to a project it cannot be resold.
Where you cancel before any work has started, we will refund in full. For the Pitch Deck Review and Investment Teaser, that means before the walkthrough or the draft has been produced. For pitch decks and financial models, that means before the kick-off call has taken place.
Where a project is cancelled after work has begun but before delivery, no further balance falls due and the deposit is retained against the time already committed.
Nothing here limits any statutory right you have as a consumer.
13. IF SOMETHING GOES WRONG
If you are not happy with the work, tell us. We will work through it with you.
Revisions are the first route, and in practice they resolve almost everything. Where they do not, contact us directly at hayden@decksadu.com and we will agree what to do about it. We would rather fix a problem than argue about it.
14. LIABILITY
We do not exclude liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded.
Subject to that, our total liability in connection with an engagement is limited to the fees you have paid us for that engagement.
We are not liable for the outcome of your raise. Whether you secure capital depends on your business, your market, your investors and factors outside our control. We are not liable for lost profit, lost funding, lost opportunity or indirect loss of any kind.
15. THINGS OUTSIDE OUR CONTROL
Where delivery is delayed by something outside our reasonable control, including illness, we will tell you promptly and agree a revised date. Where a delay makes the work useless to you, you may cancel and we will refund anything paid for work not yet done.
16. DATA PROTECTION
We handle personal data in accordance with our privacy notice, which forms part of these terms.
17. CHANGES TO THESE TERMS
We may update these terms. The version in force is the one published when your engagement starts, and later changes do not apply to work already booked.
18. GOVERNING LAW
These terms are governed by Spanish law. The courts of Palma de Mallorca have exclusive jurisdiction, except where you are a consumer, in which case you may bring proceedings in the courts of your own country of residence.
